By purchasing a contract Template (“Template”) from our online store, we are granting you a limited license to use the Template in accordance with these License Terms.
Your limited license allows you to do the following with the Template:
- Save the Template to your computer or other device;
- Edit the Template as needed;
- Use the Template for your personal or business needs anywhere in the world, for an unlimited number of times.
Your limited license grant prohibits you from doing any of the following with the Template:
- Re-sell the Template to others, or otherwise make the Template available to others, by online download or other means;
- Assign or transfer or sublicense your limited license rights to any other party;
- Modify the Template or create a derivative work using all or part of the Template, which you then share, sell, or license to third parties;
- Use the Template in any illegal manner;
- Use the Template in any manner that is prohibited by these License Terms.
If you breach these License Terms, we have the right to terminate your limited license immediately, with no obligation to refund any part of your purchase price. Upon termination of your license, you must cease all use of the Template immediately, and your limited license rights will terminate.
Although we use the terms “purchase” and “purchase price” on our website and in these License Terms, such use is for convenience only. We are not selling you any ownership rights in the Template; rather, we are granting you a non-exclusive license as described above. We retain all ownership and other intellectual property rights in the Template, including the right to grant licenses in the Template to other parties in our sole discretion. We retain all copyright in the Template. We retain the right to assign our rights and obligations in these License Terms and in the Template at any time, without notice to you and without your consent.
Your purchase of a Template does NOT create an attorney-client relationship with Kinetic Law LLC, nor does it make us your lawyer. The only way for you to enter into an attorney-client relationship with Kinetic Law LLC is if we mutually sign our engagement letter. In addition, if you are an existing client of Kinetic Law LLC, your purchase of a Template is outside the scope of your attorney-client relationship with our firm.
All purchases of Templates are final and non-refundable.
Disclaimers of Warranties
We disclaim all warranties, express or implied, with respect to the Templates, including without limitation all warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We further make no representations or guarantees that the Template you select will be appropriate for your needs.
If you are dissatisfied with the Template, your only remedy is to discontinue use of it. Kinetic Law LLC, its members, directors, officers, and employees, will not have any liability for any special, incidental, indirect, punitive, or consequential damages, or loss of use, profit, or revenue, relating to your use of the Template. The maximum amount of liability of Kinetic Law and its affiliated parties is limited to the amount that you paid for the Template.
The sole venue for any litigation related to these License Terms or the Template will be Hamilton County, OH. The laws of the State of Ohio govern these License Terms, notwithstanding any conflicts of law principles. All claims must be brought on an individual basis, and not as a plaintiff or class member in any class action or consolidated proceeding. You expressly waive the right to maintain or participate in any class action lawsuit regarding these License Terms and the Template. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Template or these License Terms must be filed within one year after such claim or cause of action arose or be forever barred.
These License Terms constitute the entire agreement between us relating to your purchase and use of the Template, and supersede and replace all prior discussions and agreements, whether oral or written, related to the Template.
If any provision of these License Terms or their application to any person or circumstance is held invalid by a court of competent jurisdiction, the invalidity does not affect any other provisions or applications of these License Terms that can be given effect without the invalid provision or application, and to this end the provisions of these License Terms are severable.
Our failure to enforce any provisions of these License Terms will not be deemed a waiver or limitation of our right to subsequently enforce and compel strict compliance with every provision of these License Terms. No waiver by us will be effective unless in writing and signed by us.
